Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the CalGem scheduling platform and related services (the “Service”) provided by FounderGem LLC (“CalGem”, “we”, “us”). By creating an account or using the Service, you agree to these Terms.

1. Accounts

You must provide accurate information and are responsible for safeguarding your account and for all activity under it. You must be at least 16 years old to use the Service.

2. Plans, billing & trials

• Paid plans (Pro, Team, Enterprise) are billed in advance on a monthly or annual basis via Stripe.
• Team plans may be billed per seat. Taxes may apply.
• Trials, where offered, convert to paid unless cancelled before the trial ends.
• You can cancel anytime; access continues until the end of the current billing period. Fees are non-refundable except where required by law.
• We may change pricing with reasonable notice; changes apply to subsequent billing periods.

3. Acceptable use

You agree not to:

• Use the Service for unlawful, harmful, deceptive, or abusive purposes;
• Send spam or unsolicited messages, or violate anti-spam or telecom laws;
• Infringe intellectual-property or privacy rights;
• Interfere with, overload, or attempt to gain unauthorized access to the Service;
• Resell or provide the Service to third parties except as permitted by your plan.

4. Your content & payments you collect

You retain ownership of the content and data you submit. You grant us a limited license to host and process it solely to provide the Service. Payments you collect from invitees are processed through your own connected payment account; you are responsible for fulfilling those bookings and for any associated taxes and refunds.

5. Third-party services

The Service integrates with third parties (e.g. Google, Microsoft, Zoom, Stripe, Twilio, Resend). Your use of those services is governed by their terms, and we are not responsible for them.

6. Open-source & self-hosting

Portions of CalGem may be made available under an open-source license for self-hosting. These Terms govern the hosted Service we provide; self-hosted deployments are governed by the applicable license and operated at your own responsibility.

7. Availability & changes

We aim for high availability but the Service is provided “as is” without warranty of uninterrupted operation. We may modify or discontinue features with reasonable notice.

8. Disclaimers

To the maximum extent permitted by law, the Service is provided “as is” and “as available” without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose and non-infringement.

9. Limitation of liability

To the maximum extent permitted by law, FounderGem LLC will not be liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits or data. Our aggregate liability for any claim is limited to the amounts you paid us for the Service in the 12 months preceding the claim.

10. Termination

You may stop using the Service and delete your account at any time. We may suspend or terminate access for violation of these Terms or to comply with law. Upon termination, your right to use the Service ends.

11. Governing law

These Terms are governed by the laws of the State of Wyoming, USA, without regard to conflict of law rules, and disputes will be resolved in the state or federal courts located in Wyoming.
